The complex field of international trade operations is an inexhaustible source of legal business that is not given all the attention that its importance requires. The contract of sale is the basic foundation of all this framework of legal business, under whose rules the import and export is developed, being decisive for the proper development of international trade to have a good contract where all those aspects that should govern the relationship between the parties are regulated in a concrete and precise manner.

What benefits will we obtain?
Sales contracts and international intermediation contracts (agency and distribution) are key to the success of an operation, being able to minimize risks, costs and resolve possible conflicts between the parties, if there are written contracts, if they are made correctly and all those aspects that may be necessary in each operation are regulated. In such uncertain times as the one we are living, having a good contract can undoubtedly help us to solve and/or avoid breaching a contract, as well as to reach more beneficial and advantageous solutions, which otherwise could be difficult to solve in case of conflict. Hence, it is necessary to ask the following questions:
- Which contract is the most appropriate for each operation?
- Do I have an ad hoc contract that regulates the contractual relations between the parties and that meets the requirements and needs of the markets to which I will export and sell my products?
- What information must be included in these contracts?
- How can we minimize risks through these contracts?
- What aspects must be taken into account in an Agency and Distribution contract?
- What would be the consequences in the event of termination of these contracts? Will I have to indemnify the Distributor for clientele, pay damages?
